Here's a few things to look for from potential link partners.
#1 Google page rank. This site www.thelinkexchangedepot.com has a google 4PR at the time of this writing. When I began my web site promotion and started to get incoming links, I ran into some sites that would not take my link because I did not have a 3PR or better. You may have found that too. We all have to start some place and that is usually zero PR. So everyone gets the same chance I was looking for when I started this site.
#2 Make sure the site you are considering for a link exchange is relevant to your site content. This may sound like nonsense but the page rank benefit from a relavant website makes a big difference.
Quality, incoming links will carry a far greater page rank benefit than hundreds of non relevant links. If a website does not have a relavant directory to your site content, move on to the next link partner who does.

Any link partners directory should be linked directly from the home page making it easy to find by search engines spiders. It surprises me how many reciprocal link requests I get that want to put my link on a page that can't be found by a search engine spider from the main page.
It does you or your partner no good if a spider can't find your links page from the main page. Avoid any link exchange that does not provide a clear path to its links page for spiders or visitors. Who wants that kind of partner anyway?
Ever see those link pages with 100+ other links? Maybe these webmasters are unaware of this, (or just plain lazy) but, Any potential page rank benefit of having a link on this kind of page is divided buy the number of links on that page. In essence making this an incoming link with very little value if any.
Be professional and categorize your link exchange by putting relavant links together in separate categories. You'll a lot more traffic from it.
